These terms govern Wisdsol Tech websites, SaaS applications, hosted software, APIs, mobile/PWA applications, software licences, custom development, hosting, implementation, training, maintenance, support, consulting and related services.
1.1 Agreement and precedence
A customer accepts these terms by signing an Order Form/SOW, purchasing a plan, activating an account or using a Service. The applicable Order Form, Statement of Work, DPA and SLA may add or override provisions for that customer. Unless expressly stated otherwise, precedence is: signed Order Form/SOW; signed DPA for data processing; signed SLA for service levels; these Master Terms; then linked policies.
1.2 SaaS licence
Subject to payment and compliance, Wisdsol grants a limited, non-exclusive, non-transferable right during the subscription term to access the subscribed Service for the permitted users, locations, entities, devices and usage limits stated in the plan or Order Form. No software ownership or source-code ownership is transferred unless a written agreement expressly says so.
1.3 Accounts and users
- Customer must provide accurate account information.
- Customer is responsible for Authorised Users and activity under its accounts.
- Customer must use strong passwords, MFA where available, role-based access and timely removal of former staff.
- Credentials and API keys must not be shared or exposed.
1.4 Customer data
Customer retains its rights in data submitted to the Service. Wisdsol receives only the rights reasonably necessary to host, store, back up, transmit, process, secure and support that data. Customer remains responsible for lawful collection, accuracy, permissions and retention of its data.
1.5 Security and availability
Wisdsol will maintain reasonable safeguards appropriate to the Service, including access controls, logging, backups and security practices appropriate to the architecture. No internet service can be guaranteed completely secure. Any guaranteed uptime, recovery objective, support response or service credit applies only where an SLA or Order Form expressly provides it.
1.6 Hosting, cloud infrastructure and third parties
Wisdsol may operate, deploy or support its applications and websites using third-party infrastructure and service providers. The hosting providers identified for Wisdsol operations are Heroku, Amazon Web Services (AWS), and Namecheap, as applicable to the relevant website, application, domain, hosting, email or infrastructure arrangement.
| Provider | Potential role | Policy treatment |
|---|---|---|
| Heroku | Application platform / cloud application hosting | May host or run Wisdsol applications and related application services where deployed on Heroku. |
| Amazon Web Services (AWS) | Cloud infrastructure, compute, storage, databases, networking or related services | May support Wisdsol applications, data infrastructure, backups or other cloud workloads where AWS services are used. |
| Namecheap | Domain registration, DNS, web hosting and/or email services | May support Wisdsol domains, websites, email or other hosting arrangements where Namecheap services are used. |
Heroku describes its platform as a fully managed cloud Platform as a Service for deploying, managing and scaling applications; AWS provides broad cloud services including compute, storage, databases and networking; and Namecheap provides domain, DNS, hosting and related services.
The specific provider used for a particular Wisdsol product may vary by product, deployment architecture, customer agreement or operational requirement. Wisdsol will not represent that every product uses every provider. Where third-party infrastructure processes Customer Data, the applicable contractual, privacy, security and data-processing requirements will apply. Third-party providers remain independently responsible for their own platforms and services.
Hosting may also involve payment providers, messaging services, maps, email, sensors, identity providers, analytics, security tools or other integrations. Their independent terms and outages may apply. Wisdsol will use reasonable efforts to maintain supported integrations.
1.7 Custom development
Custom work should be governed by an SOW covering scope, milestones, acceptance, dependencies, payment, change control, hosting, training, warranty/bug fixing and IP ownership. Wisdsol retains its pre-existing frameworks, reusable components, libraries, tools, know-how and platform technology unless expressly transferred.
1.8 Payments
Fees, taxes, subscription cycles and renewal terms are those stated in the applicable Order Form, invoice or pricing page. Unpaid amounts may result in suspension after reasonable notice. Product-specific refund rules appear in the Refund & Cancellation Policy.
1.9 Suspension and termination
Wisdsol may suspend or terminate access for material breach, serious misuse, security risk, legal requirement or non-payment after reasonable notice where practicable. Customer should export required data before termination. Accrued fees and clauses intended to survive termination remain effective.
1.10 IP and confidentiality
Wisdsol retains rights in its Services, software, documentation, brand and technology. Each party must protect the other's confidential information. Customer grants Wisdsol no marketing rights beyond what is separately authorised.
1.11 Liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special or consequential losses. Subject to mandatory law and any signed Order Form, Wisdsol's aggregate liability for a Service is capped at fees paid or payable for that Service during the preceding 12 months. Nothing limits liability that cannot legally be limited.
1.12 Ghana law and disputes
These terms are governed by the laws of the Republic of Ghana. The parties should first seek good-faith resolution through Wisdsol at info@wisdsol.com. Where court proceedings are necessary, jurisdiction should be determined according to applicable Ghanaian law and any valid contractual forum clause.
